Investors benefit from full return of their principal investment, a 9% preferred dividend, and the opportunity to convert said cumulative, convertible preferred shares into common equity at a favorable 2-for-1 ratio. Each one (1); Series B; 9% preferred share purchases two (2) commons shares at $5.00 per each common share.

Business Summary

The Company was incorporated in Texas in 1991 as Let Us, Inc. and renamed Citizens Capital Corp. in 1992. The Company expanded into various industries through the development of certain intellectual property (I.P.) and the formation of multiple subsidiaries. In 1995, the Company entered the residential mortgage loan market by forming Landrush Realty Corporation and transferring several home equity brands in exchange for equity. In 1997, Citizens Capital Corp. expanded into print media through Media Force Sports & Entertainment Inc. and the athletic footwear market with SCOR Brands Inc., acquiring and exchanging brand assets for common shareholdings. Although some marketing operations were later suspended, the Company has retained equity ownership stakes and exclusive intellectual property rights across these subsidiaries.

Over the years, the Company continued to diversify its portfolio. It developed the Dream League Football Association (DLFA) in 2008 and later sold all league assets to DLFA Industries Inc. in 2009 in exchange for 250 million common shares, making Industries a 100% wholly owned subsidiary. From 2017 onward, the Company partnered with an affiliate, Corporate Services Trust, LLC, to expand into digital media, private entertainment, e-commerce, and cannabis markets. The Company launched or acquired several platforms and brands—including MFSE TV, Teeezme, FarReach Technologies, and Puff Brands—through structured acquisitions involving balloon notes and common stock issuance. As of November 1, 2025, the Company maintains controlling equity ownership interest across these entities, positioning itself as a diversified holding company with assets spanning branded footwear, media, sports, technology, and cannabis sectors.

The Private Equity Market 2025

Despite a strong first quarter, overall exit activity saw a significant slowdown in Q2 and Q3 2025. This was driven by market volatility and a large backlog of aging portfolio companies. This presents concerns for investors seeking a return of their investment capital.

It typically takes a private equity firm around 10 years to return investor capital, though the timeline can vary depending on the funding structure and investment strategy. The private equity lifecycle includes an investment period (typically 5-6 years) followed by a harvesting period (4-5 years) where all or a portion of the firm’s portfolio holdings are sold and capital is distributed back to investors. While initial distributions may occur within the first 1.5 years, significant capital return may occur in the later stages as investments are sold.

New regulations have allowed for increased inclusion of private equity and other alternative assets in retirement accounts, potentially opening up a new source of capital for private equity sponsors.
